Contributor License and Terms
Version 2026-10-28
These terms apply when you send Positively Pedestrian a contribution: a song or other audio, an image, a poem or other writing, a link to media hosted elsewhere (for example Suno, YouTube or SoundCloud), or a correction or suggestion. Positively Pedestrian is a podcast produced by USA Web School, a nonprofit in Charlotte, North Carolina, and hosted by Kris Tyte and Sean Snodgrass.
In these terms, "we" and "us" mean USA Web School and the hosts, Kris Tyte and Sean Snodgrass. "You" means the person sending the contribution. "Contribution" means anything you send us under these terms, including links.
By pressing the accept button on the submission form, you agree to everything below. If you do not agree, do not send anything.
1. Who can contribute
You must be 18 or older. If you are under 18, please do not send a contribution. Comments and questions have their own rules in the Community Guidelines.
2. You keep your work
You own your contribution. Nothing here transfers ownership of your own work to us. You are giving us permission to use it, as described next.
3. The license you give us
You grant USA Web School and the hosts a license to your contribution that is:
- perpetual (it has no end date);
- irrevocable (you cannot cancel it, except as section 9 describes for future uses);
- worldwide;
- royalty-free (we owe you no payment, now or later);
- non-exclusive (you can still use your work yourself and let others use it);
- sublicensable (we can let others, such as hosting and distribution services and other creators we work with, use it for the purposes below); and
- transferable (we can pass the license to a successor organization or another owner of the podcast).
Under this license we may use, reproduce, modify, adapt, publish, perform, display, distribute and reuse your contribution, in whole or in part, in any medium now known or developed later. This includes the podcast, the website, social media, and promotion of the podcast and the site.
If you send a link to media hosted elsewhere, the license covers the link and any embed, excerpt, thumbnail or description of it. The license does not give us rights in the other site's service or software. It covers your contribution, and you promise you can grant it (section 5).
4. Credit
We may name you, use a name you chose, or say nothing. Credit is a courtesy we may choose to give. It is not an obligation and not a right. If we do credit you, a missed, misspelled or removed credit is not a breach of these terms.
5. Corrections and suggestions
If your contribution is a correction or suggestion (a transcript fix, a source suggestion, an idea for the show), you assign it to us outright. We own it and may use it in any way, with no credit, no payment and no claim from you. Where the law does not allow an assignment, you give us the license in section 3 for it.
6. Moral rights
"Moral rights" means rights such as the right to be named as the author or to object to changes to your work. Where the law allows, you waive them for your contribution. Where the law does not allow a waiver, you agree not to assert them against us or anyone we have given permission to.
7. What you promise
By sending a contribution you confirm that:
- you are 18 or older;
- you created it, or you hold every right needed to give us the license in section 3;
- it does not infringe anyone's copyright, trademark, privacy or other rights;
- it does not include anyone's private information (for example a real person's contact details, health details or a private message) without that person's clear permission;
- if any part was made with an AI tool, you have said so on the form (see the AI-Content Declaration); and
- if any part was made with an AI tool, you have the right, under that tool's terms and plan, to give us this license.
Some AI tool plans do not let you license the output. For example, songs made on Suno's free plan are generally for non-commercial use and are owned by Suno. We do not accept those. We accept only work you have the right to license to us. If you are not sure, ask us before you send it.
8. What we may do
We decide what happens to every contribution. We may decline it, edit it for length or format, add a label (such as "AI-assisted"), remove it, or take it down at any time. We do not owe you a reason, and we have no liability to you for doing so, or for choosing not to use your work.
Work made with AI tools is labeled "AI-assisted" on the site. We may refuse AI-made work.
9. Removal
You can ask us to remove your own contribution by emailing [email protected]. We will stop using it going forward and take it down from the site where we can. The license stays in force for uses already made, including episodes, clips and posts already published or distributed, and for copies that others have already received.
10. If a claim is made against us
You will defend and reimburse USA Web School, Kris Tyte and Sean Snodgrass (and anyone acting for them) against any claim, loss or cost, including reasonable legal fees, that comes from your contribution or from a promise in section 7 being untrue. We will tell you promptly if a claim is made, and you will cooperate in dealing with it.
11. No payment, no job, no partnership
You are not paid for your contribution. Sending it does not make you an employee, contractor, partner, agent or co-owner of the podcast or of USA Web School. We make no promise that we will use your work, or use it in any particular way.
12. What we record when you accept
When you press accept, we record:
- the version of these terms and a fingerprint (a computed code) of the exact terms text you saw, so we can show which wording you accepted;
- the time you accepted;
- your profile (the signed-in profile you sent the contribution from); and
- a fingerprint of what you sent, so we can show which contribution the acceptance covers.
We keep this record for as long as we use your contribution. See the Privacy page for how we handle other information.
13. Disclaimer and limits
We provide the site and the podcast as they are. To the extent the law allows, we are not liable for indirect or consequential losses, or for losses connected with your contribution beyond any amount the law does not let us exclude.
14. Changes
We may update these terms. A new version applies to contributions you send after the new version date. The license you gave for earlier contributions stays as you accepted it.
15. Governing law
These terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-law rules. Any dispute will be brought in the state or federal courts in [COUNTY, TO BE CONFIRMED BY COUNSEL], North Carolina, and you agree to those courts.
16. If part of these terms does not hold
If a court finds part of these terms unenforceable, the rest stays in force, and the unenforceable part is applied to the closest extent the law allows.
